ImpactCity is a personal branding, professional visibility, and content strategy agency.

2. Our Services

ImpactCity provides personal branding, LinkedIn/social visibility strategy, content, coaching, mentoring, counseling, courses, book club, and podcast-related services (collectively, the "Services"), as described on our website or agreed in a separate proposal or agreement with you.

No guaranteed results.

Personal branding and visibility outcomes, including follower growth, engagement, inbound opportunities, rankings, revenue, and business outcomes, depend on factors outside our control. We do not guarantee specific results from our Services.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use our Services. By using our Services, you represent that you meet this requirement.

4. Bookings, Payments, and Billing

  • Prices for Services are as quoted on our website or in a proposal or invoice sent to you.
  • Payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms in addition to ours. We do not store your full payment card details.
  • Fees are due as specified at booking or in your service agreement or invoice.

Refunds: Refund and cancellation terms must be confirmed and inserted before publication. They should reflect the actual policy, including whether payments become non-refundable after work begins and any cancellation window.

We reserve the right to change our pricing at any time, but changes will not affect Services already paid for or in progress.

5. Client Responsibilities

  • Provide accurate, complete, and timely information.
  • Cooperate reasonably during onboarding, strategy sessions, and content review.
  • Own and be responsible for accounts, such as LinkedIn and Instagram, that we assist with, unless otherwise agreed in writing.
  • Comply with the terms of service of relevant third-party platforms.

6. Intellectual Property

  • Our IP: Website content, branding, methodologies, templates, and materials created by ImpactCity remain our intellectual property unless explicitly transferred in writing.
  • Client content: You retain ownership of content, materials, and information you provide. You grant us a limited license to use that content solely to deliver the Services.
  • Deliverables: Ownership of final deliverables transfers to you upon full payment, unless otherwise stated in your service agreement.
  • You may not copy, reproduce, or redistribute our proprietary methodologies or materials without written permission.

7. Testimonials and Case Studies

With your consent, we may reference your engagement, results, or testimonials, anonymized or attributed as agreed, in our marketing materials, including our website. You may withdraw this consent at any time by contacting us.

8. Third-Party Links and Platforms

Our Services may reference or integrate with third-party platforms, including LinkedIn, Instagram, and YouTube. We are not responsible for their availability, content, policies, actions, algorithm changes, or account restrictions.

9. Disclaimers

Our Services and website are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, ImpactCity and its officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from your use of our Services or website.

The maximum total liability amount and applicable claim period must be confirmed with legal counsel and inserted before publication.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including UK consumer protection law where applicable to UK clients.

11. Indemnification

You agree to indemnify and hold ImpactCity harmless from claims, damages, or expenses, including reasonable legal fees, arising from your breach of these Terms, misuse of our Services, or violation of any law or third-party right.

12. Termination

We may suspend or terminate your access to our Services if you breach these Terms. You may terminate your engagement with us in accordance with the cancellation terms in your specific service agreement.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes will be resolved in courts located in Wyoming, unless applicable mandatory consumer protection law in your jurisdiction, including for UK consumers, provides otherwise.
